Job Description

The Corporate Counsel will be responsible for the Company’s various areas of corporate law, including but not limited to corporate governance, mergers and acquisitions, credit transactions, compliance, contracts, intellectual property, employment law, and general business operations. The ideal candidate will have a strong background in corporate law or general business knowledge, excellent problem-solving skills, and the ability to collaborate effectively with cross-functional teams.

Key Responsibilities

:• Corporate Governance: Advise the executive team on corporate governance matters, ensuring compliance with applicable laws, regulations, and best practices

.• Contract Drafting, Review, and Negotiation: Review, interpret, and draft a wide range of contracts, including simple and complex debt agreements, commercial agreements, vendor contracts, service agreements, non-disclosure agreements, and other legal documents

.• Mergers and Acquisitions: Provide legal support on mergers, acquisitions, joint ventures, and other strategic business transactions, including due diligence, structuring, integration, and post-closing matters

.• Regulatory Compliance: Ensure the company’s operations comply with relevant local, state, and federal laws, including industry-specific regulations. Advise on risk management strategies and help mitigate legal risks

.• Intellectual Property: Oversee the protection and management of the company’s intellectual property portfolio, including patents, trademarks, and copyrights

.• Litigation Management: Manage and coordinate with external counsel on any pending litigation, claims, or disputes involving the company. Draft and track pending simple litigation matters

.• Legal Research: Conduct research on various corporate matters, including employment law, and evaluate the applicability of newly promulgated or pending legislation

.• Risk and Underwriting Support: Assist the Risk and Underwriting department with due diligence tasks and support with collection matters

.• Human Resources Support: Provide legal counsel on employment-related matters, including employee relations, benefits, compensation, and compliance with labor laws. Assist Human Resources with document preparation, compliance, and provide general legal support as needed

.• Policy Development: Assist in developing and implementing corporate policies and procedures to ensure compliance with laws and internal standards

Qualification

s:• Juris Doctor (JD) degree from an accredited law schoo

l.• Licensed to practice law in Florid

a.• 2+ years of experience in business or corporate law, with a focus on business transactions and basic corporate contract

s.• Knowledge of corporate governance, contracts, mergers & acquisitions, intellectual property, employment law, and some regulatory complianc

e.• Excellent communication and interpersonal skills, with the ability to interact effectively with senior management and all department

s.• Proven ability to manage multiple legal projects simultaneously and meet deadlines and work in a fast-paced environmen

t.• Strong analytical and problem-solving skills, with a proactive approach to identifying and addressing legal issue

s.• High level of integrity and professionalism, with the ability to maintain confidentialit

y.• Excellent drafting and organizational skill
